Eutelsat and MaiaSpace sign LEO launch agreement
  • Multi-launch agreement, augmenting Eutelsat’s existing options for access to space from 2027 onwards
  • Further assuring operational continuity for customers of its OneWeb LEO constellation

Paris, 16 January 2026– Eutelsat (ISIN: FR0010221234 – Euronext Paris / London Stock Exchange: ETL) and MaiaSpace have signed a multi-launch agreement for the future launch of LEO satellites, starting in 2027. The agreement adds to Eutelsat’s options for access to space, providing additional assurance of operational continuity for customers of its OneWeb constellation.

Founded in April 2022, MaiaSpace designs, manufactures, commercializes, and operates the first reusable and eco-designed mini launcher in Europe, which prefigurates the future family of sovereign and competitive European launch vehicles. With its large, 3.5-meter diameter fairing, a launch mass capability of up to 4 tons in inclined orbits, and the addition as an option of the Colibri kick-stage increasing mission flexibility, the MaiaSpace launcher offers a compelling solution for various missions, in particular for the deployment or replenishment of broadband satellite constellations.

Arlen Kassighian, Eutelsat’s Chief Engineering Officer, said: “We're delighted to be bringing the MaiaSpace launch solution into our LEO constellation deployment strategy adding a complementary launch option alongside our existing partners. By broadening our launch portfolio, we can continue delivering efficient and resilient services to our customers while ensuring continuity of service for the existing constellation. It also reinforces our commitment to meeting customer demand while strengthening the resilience of our access to space.”

Eutelsat orders 340 more LEO satellites from Airbus
  • Delivering enhanced technical performance through technology upgrades
  • Assuring full continuity of service for customers of Eutelsat’s OneWeb constellation
  • Enabling Eutelsat to pursue its dynamic LEO growth path

Paris, 12 January 2026– Eutelsat (ISIN: FR0010221234 – Euronext Paris / London Stock Exchange: ETL) has awarded Airbus Defence and Space a contract to build a further 340 OneWeb low Earth orbit (LEO) satellites. Together with the previous batch of 100 satellites procured in December 2024, the total number of satellites ordered is up to 440.

The satellites will be manufactured at Airbus Defence and Space’s Toulouse facility on a newly installed production line, with delivery from the end of 2026.

Eutelsat’s OneWeb low Earth orbit (LEO) satellite network delivers high-speed, low-latency connectivity on a global basis. With over 600 satellites flying in 12 synchronised orbital planes 1,200km above the Earth, the constellation brings high-speed internet to every corner of the planet. The availability of these latest satellites will assure full operational continuity for customers of the constellation, progressively replacing early batches coming to end of operational life.

Furthermore, they will integrate technology upgrades including advanced digital channelizers, enabling enhanced onboard processing capabilities as well as greater efficiency and flexibility. They incorporate optimized architecture designed to maximize long-term operational performance. With these latest satellites, Eutelsat will also be evaluating opportunities for new business cases, notably through embarkation capabilities for hosted payloads.

Fully focused on the professional B2B market, Eutelsat’s OneWeb is one of only two fully operational LEO networks globally and the sole European operator. This unique position enables Eutelsat to meet the rapidly growing demand for LEO capacity in the fixed and mobile connectivity segments as well as playing a strategic role in critical government-related sectors by delivering sovereign-grade connectivity solutions that empower organizations with reliable and secure communications.

Jean-François Fallacher, Eutelsat Chief Executive Officer commented: “We are pleased to rely on our long-standing partner, Airbus, for the procurement of these latest satellites. They ensure service continuity for the growing number of our customers and distribution partners benefiting from the unparalleled performance of our ubiquitous, low latency LEO capacity, and enable us to pursue our growth path, building on the 80% topline expansion delivered in 2025.”

“This latest contract from Eutelsat is an endorsement of our design and manufacturing expertise for LEO satellites. Airbus has been a key partner and supplier to Eutelsat for more than 30 years and this award further cements our important relationship,” added Alain Fauré, Head of Space Systems at Airbus Defence and Space.

Not to be published, distributed or circulated directly or indirectly in the United States, Canada, Australia, Japan or South Africa.

Paris, 12 December 2025 - Eutelsat (ISIN: FR0010221234 - Euronext Paris / London Stock Exchange: ETL) Eutelsat (the “Company”) announces today the success of its share capital increase with shareholders’ preferential subscription rights for a gross amount of approximately €670 million (the “Rights Issue”). The proceeds of the Rights Issue, combined with the proceeds of the Reserved Capital Increases (as such term is defined below) completed on November 21st, 2025, will be used to reinforce its financial structure and fund its strategic ambitions.

Jean-Francois Fallacher, Chief Executive Officer of Eutelsat commented: “The strong support for our €670 million rights issue reflects the continued confidence of our shareholders in Eutelsat’s long-term strategic roadmap. Together with the reserved capital increases, this transaction significantly strengthens our financial structure and gives us the means to support the deployment of our LEO activities while maintaining a disciplined deleveraging trajectory”

Results of the Rights Issue

The Rights Issue (including issue premium) amounts to €669,775,132.80 and will result in the issue of 496,129,728 new shares (the “New Shares”) at a subscription price of €1.35 per New Share (i.e. €1.00 nominal value and €0.35 issue premium).

Following the subscription period which ended on December 9th, 2025, total demand amounted to approximately €891,581,211, representing a subscription rate of approximately 133%:

  • - 476,022,088 New Shares have been subscribed on an irreducible basis (“à titre irréductible”) representing approximately 96% of the New Shares to be issued;
  • - Orders submitted on a reducible basis (à titre réductible) represented 184,408,439 New Shares and will therefore only be partially allocated for an aggregate number of 20,107,640 New Shares according to a coefficient of 0.1829528897 calculated according to the number of rights submitted in support of irreducible subscriptions without resulting in an allocation of fractions of New Shares and without the allocation being greater than the number of New Shares requested on a reducible basis.

The issue, settlement and delivery, and start of trading of the New Shares on the regulated market of Euronext Paris (“Euronext Paris”) are expected to take place on December 16th, 2025. The start of trading of the New Shares on the London Stock Exchange is expected to take place on December 17th, 2025. The New Shares will immediately entitle their holders to receive dividends declared by Eutelsat as from the date of issuance. They will be immediately fungible with existing ordinary shares of the Company and will be traded on the same trading line under the same ISIN code FR0010221234.

Use of proceeds from the issuance of the New Shares

On June 19th, 2025, the Company presented a strategic roadmap aimed at accelerating the deployment of its low Earth orbit (LEO) satellite activities and supporting the future IRIS2constellation, while strengthening its financial flexibility by accelerating its debt reduction. In this context, the Company indicated that it would raise €1.5 billion in equity capital (as presented in the communication dated July 10th, 2025, supplementing that of June 19th, 2025) through: (i) reserved capital increases for a gross amount of €828 million at a price per share of €4.00, subscribed by the French Republic (the “French State”) via the Agence des Participations de l’Etat (the “APE”), Bharti Space Ltd, His Majesty’s Government, via The Secretary of State for Science, Innovation and Technology of the United Kingdom (the “UK Government”), CMA CGM Participations and the Fonds Stratégique de Participations (the “FSP”) (the “Reserved Capital Increases”), completed on November 21st, 2025, as well as (ii) a Rights Issue of approximately €670 million (together with the Reserved Capital Increases, the “Capital Increases”), also subscribed by the French State via the APE, Bharti Space Ltd, the UK Government, CMA CGM Participations and the FSP in proportion to their respective shareholding in the Company’s share capital after completion of the Reserved Capital Increases.

As part of these €1.5 billion Capital Increases:

  • the French State via the APE subscribed for a total amount of €749 million;
  • Bharti Space Ltd subscribed for a total amount of €150 million;
  • the UK Government subscribed for a total amount of €163 million;
  • CMA CGM Participations subscribed for a total amount of €150 million; and
  • The FSP subscribed for a total amount of €91 million.

These Capital Increases, combined with a refinancing plan including a bond financing, export credit financings and an extension of bank debt maturities, should enable the Company to finance its medium-term plan and cover investments of approximately €4 billion over the period 2026-2029, while contributing to reducing the Company's leverage ratio to around 2.5x at the end of the 2025-26 financial year.

Impact of the Rights Issue on the Company's capital and voting rights

As a result of the Rights Issue, the Company’s share capital will amount to €1,178,308,106 divided in 1,178,308,106 shares with a nominal value of €1.00 each. The shareholding structure will be split (to the knowledge of the Company) as follows:

Lock-up commitments

As part of the underwriting agreement entered into between the Company and a syndicate of banks in the context of the Rights Issue, the Company has agreed to an undertaking to abstain from issuing or selling any shares from the date of signature of the underwriting agreement and expiring 180 calendar days following the settlement-delivery date of the New Shares, subject to certain customary exceptions.

The French State via the APE, Bharti Space Ltd, the UK Government, CMA CGM Participations and the FSP have agreed to a lock-up period beginning from the launch date of the Rights Issue and expiring 180 calendar days following the settlement-delivery date of the New Shares, subject to certain customary exceptions.

  • Subscription ratio: 8 new shares for 11 existing shares

Eutelsat (the “Company”), a global leader in satellite communications, announces today the launch of a share capital increase with shareholders’ preferential subscription rights for a gross amount of approximately €670 million (the “Rights Issue”), which follows the Reserved Capital Increases (as defined below) of €828 million approved at the combined general meeting of September 30th, 2025, and completed on November 21st, 2025.

Context of the transaction

On June 19th, 2025, the Company presented a strategic roadmap aimed at accelerating the deployment of its low Earth orbit (LEO) satellite activities and supporting the future IRIS2constellation, while strengthening its financial flexibility by accelerating its debt reduction. In this context, Eutelsat with its consolidated subsidiaries (the “Group”) indicated that it would raise €1.5 billion in equity capital (as presented in the communication dated 10 July 2025, supplementing that of 19 June 2025) through: (i) reserved capital increases for a gross amount of €828 million at a price per share of €4.00, subscribed by the French State via the APE, Bharti Space Ltd, the UK Government, CMA CGM Participations and the FSP (the “Reserved Capital Increases”, and together with the Rights Issue, the “Capital Increases”), as well as (ii) a Rights Issue of approximately €670 million, which would also be subscribed by the French State via the APE, Bharti Space Ltd, the UK Government, CMA CGM Participations and the FSP in proportion to their respective pro-rata shareholding in the Company after completion of the Reserved Capital Increases. These Capital Increases, combined with a refinancing plan including a bond financing, export credit financings and an extension of bank debt maturities, should enable the Company to finance its medium-term plan and cover investments of approximately €4 billion over the period 2026-2029, while contributing to reducing the Company's leverage ratio to around 2.5x at the end of the 2025–26 financial year.

The Reserved Capital Increases were completed on November 21st, 2025.

The net proceeds from the Rights Issue are estimated at approximately €660 million and are part of the strategic roadmap described above. Together with the proceeds from the Reserved Capital Increases, they will be used by the Company to finance its growth and accelerate its debt reduction.

In parallel with the Capital Increases and as part of this strategy to strengthen its financial structure, the Group has initiated the refinancing of its bank and bond debt. While the majority of existing debt of the Group is issued at the level of Eutelsat SA subsidiary, the Company intends going forward to issue debt at the level of Eutelsat Communications SA, subject to market conditions. Eutelsat Communications SA has already signed with its banking partners the refinancing of its syndicated bank debt facilities through €500 million revolving credit facility and a €400 million term loan with maturities of three years and two one-year extensions. These agreements are subject to the completion of a bond issue at Eutelsat Communications SA and other customary conditions for this type of agreement. In accordance with the Company's recent communications, in order to cover the financing needs of its medium-term plan, the Group is also in advanced discussions with European public export credit financing agencies (ECA financing) and has appointed a coordinating bank to work on the implementation of this ECA financing.

Main terms of the Rights Issue

The Rights Issue will be carried out with shareholders’ preferential subscription rights, pursuant to the 16th resolution of the combined general meeting of September 30th, 2025, leading to the issue of 496,129,728 new shares (the “New Shares”), at a subscription price of €1.35 per New Share.

Each shareholder will receive one preferential subscription right per share recorded in its securities account at the end of the day falling on November 27th, 2025. In order to ensure that the shares are recorded in the securities account on that date, purchases of existing shares on the market must be executed at the latest on November 25th, 2025.

The preferential subscription rights will be detached from the underlying share on November 26th, 2025 and be tradable from November 26th, 2025 until December 5th, 2025 inclusive on the regulated market of Euronext Paris (“Euronext Paris”) under ISIN code FR0014012K95 and can be exercised from November 28th, 2025 until December 9th, 2025 inclusive according to the indicative timetable. Existing shares will therefore trade ex-right from November 26th, 2025. 11 preferential subscription rights will entitle the relevant holder to subscribe for 8 New Shares at a subscription price of €1.35 per New Share (i.e. €1 of nominal value and €0.35 of issue premium). The preferential subscription rights not exercised at the end of the subscription period, i.e. on December 9th, 2025, according to the indicative timetable, will lapse automatically.

Subscriptions subject to reduction (à titre réductible) will be accepted. Any New Shares not absorbed by subscription orders not subject to reduction (à titre irréductible) will be allocated to the holders of the preferential subscription rights having submitted additional subscription orders subject to reduction (à titre réductible), within the limit of their requests in proportion to the number of preferential subscription rights whose will have been used to subscribe not subject to reduction (à titre irréductible), without this resulting into an allotment of fractional New Shares.

Based on the closing price of the Company shares on Euronext Paris on November 21st, 2025, i.e., €3.225:

  • the subscription price of the New Shares of €1.35 shows a discount of (58.1%) on their face value,
  • the theoretical value of the preferential subscription rights amounts to €0.79,
  • the theoretical ex-right value of the Company share amounts to €2.44, and
  • the subscription price of the New Shares shows a discount of (44.6%) to the theoretical ex-right value of the share.

These values do not prejudge either the value of the preferential subscription right during their trading period or the ex-right value of the Eutelsat share, or the discounts, as they will be recorded on Euronext Paris.

The Rights Issue will be open to the public in France only.

The New Shares will immediately entitle their holders, from the date of issuance, to receive all dividends and distribution decided by the Company from this date. They will be immediately assimilated with existing shares of the Company and will be traded on the same trading line under the same ISIN code (FR0010221234).

Subscription commitments

The French State via the APE, Bharti Space Ltd, the UK Government, CMA CGM Participations and the FSP have each undertaken to subscribe to the Rights Issue not subject to reduction (à titre irréductible) in proportion to their respective shareholding in the Company (following completion of the Reserved Capital Increases), representing respectively approximately 29.65%, 17.88%, 10.89%, 7.46% and 4.99%, or respectively approximately €199 million, €120 million, €73 million, €50 million and €33 million, representing collectively approximately 70.87% of the Rights Issue and an aggregate amount of approximately €475 million.

The Company is not aware of any intention to subscribe from shareholders or members of the administrative bodies other than those mentioned above.

In aggregate, Eutelsat has therefore received irrevocable commitment subscriptions representing in excess of 70% of the contemplated Rights Issue.

As previously communicated, subject to market conditions and approval by the AMF of the related Prospectus, Eutelsat intends to execute the contemplated Rights Issue by 2025 year-end.

Part of a comprehensive financing strategy

These two capital increases, forming part of a comprehensive financing strategy alongside a dedicated debt refinancing plan, are aimed at enhancing the Company’s financial flexibility and supporting investment in its existing Low Earth Orbit (LEO) capabilities and the future IRIS² constellation, while accelerating deleveraging towards its medium-term target of 3x Net debt to EBITDA.

Following the Capital Increases and the disposal of the passive ground segment, expected in H2 FY 2025-26, Eutelsat anticipates a Net Debt / Adjusted EBITDA ratio of c.2.5xat year-end FY 2025-26. In the longer term (post FY 2028-29), the B2B connectivity market is expected to pursue its growth at a double-digit rate, mostly driven by LEO market expansion.
